The commercial terms for app brands and agencies that run campaigns on Yousie: what you pay for, how results are counted, and how payment works.

1. About these terms

These terms set out the commercial conditions on which [to be completed: company legal name], [to be completed: legal form], whose registered office is at [to be completed: registered office address], provides Yousie to brands. The company’s full details are in the legal notice.

Who they are for

They are for businesses only: app brands, and agencies acting for them. By accepting them, you confirm that you are acting for the purposes of your business and that you are authorised to commit the company you act for.

Creators are not customers under these terms. What a creator earns, and how it is paid, is set by the Terms of Use and the collaboration agreement.

When you accept them

You accept these terms when you open a campaign to creators. They apply to that campaign and to every result recorded for it. Purchasing terms of your own do not apply unless we have agreed to them in writing.

The documents that apply with them

  • The Terms of Use set the rules of the platform for creators and brands alike. Where they and these terms differ on what a brand pays and how, these terms apply.
  • The collaboration agreement applies between you and each creator who joins your campaign.
  • The Privacy Policy explains how personal data is used.

2. Definitions

Yousie, we, us
The service available at yousie.com and the company that operates it, named at the top of these terms.
Brand, you
A company that lists an app on Yousie and runs a campaign for it, or an agency acting for one.
App
A mobile app that you own or are authorised to promote, as you have listed it on Yousie.
Campaign
The offer you publish for one app: what you pay for each result, and the attribution window. Each app has one campaign. Creators see it as a collab, and the Terms of Use call it one too.
Creator
A person who joins your campaign and publishes content about your app.
Yousie link
The personal tracking link a creator receives on joining your campaign.
Click
A visit to a Yousie link that Yousie records.
Attribution window
The number of days after a click during which an install still counts. You set it in your campaign.
Install
The first time your app is opened on a device, reported by your app and attributed to a click.
Subscription
A paid subscription bought in your app by someone whose install was attributed.
Result
An install, or a subscription you have confirmed: the “download” and the “action” of the Terms of Use. These are the two results a campaign can pay for.
Price
What you pay for one result under your campaign’s amounts. It is the whole of what you pay for it.
Tracking keys
The SDK key your app uses to report installs and subscriptions, and the postback secret your server uses to confirm or reject subscriptions.

3. What you buy

Yousie sells results, not content. You pay for the installs and the subscriptions that creators’ links bring to your app. There is no subscription to Yousie, no joining fee and no fee for a video.

For each campaign, the service is made up of:

  • the listing of your campaign where creators find it and join it;
  • a Yousie link for each creator who joins;
  • the tracking that records clicks, installs and subscriptions, and attributes them to a link;
  • a dashboard that shows you those results, the creators who joined and what each of them drove;
  • the collection of what you owe for results, and the payment of creators.

A live campaign is public. Yousie may show it on yousie.com, including to visitors who are not signed in, with your app’s listing and what the campaign pays creators. The listing combines what you supply, such as the name and the description of your app, with what its store pages show, such as its icon and its rating.

What is not part of the service

  • Videos or files. Creators publish on their own accounts, in their own name, and keep the rights in their content. The collaboration agreement says what you may do with it.
  • A number of creators, posts or results. No creator is obliged to join a campaign or to publish, and Yousie does not promise a number of installs or subscriptions.
  • Managing your campaign or checking content. You set up your campaign yourself. Yousie does not check content before a creator publishes it.

4. How a campaign’s price is set

You set the price of each result yourself, in your campaign. Yousie has no rate card and does not set a price for you. A campaign can pay for:

  • each install, a fixed amount;
  • each confirmed subscription, a fixed amount, a share of the subscription price, or both.

An amount left at zero is not paid: a campaign can pay for installs only, or for subscriptions only. Prices are in euros.

A share of the subscription price

When your campaign pays a share of the subscription price, the share is taken from the amount you state when you confirm the subscription: what the subscriber was actually charged, in euros. The price your app reports is shown to you for information. It never sets what you pay.

What the price contains

The price of a result is all you pay for it. Yousie’s commission for brands is 0%: nothing is added on top.

Yousie is paid by a commission on what creators earn, not by a fee added to your price. Of the price of a result, the creator receives 80% and Yousie keeps 20%. For example, when the results of a campaign come to €100, you pay €100, creators receive €80 and Yousie keeps €20.

Your campaign shows what a creator receives under the amounts you set, and that is the figure creators see. The pricing page sets out the commission.

Changing a price

You can change your campaign’s amounts at any time. A change applies to what is recorded after you save it:

  • an install is priced at the amount in force when it is recorded;
  • a subscription is priced at the fixed amount and the share in force when it is first reported, whenever you confirm it.

A result already recorded keeps its price. The same goes for Yousie’s commission: a new rate applies only to results recorded after it takes effect.

5. What counts as a billable result

You are charged for valid results only: installs, and subscriptions you have confirmed, that Yousie’s tracking attributes to a creator’s Yousie link. What counts as a result gives the same rule in everyday terms.

Clicks

Yousie records a click when someone follows a creator’s Yousie link while your campaign is live, then sends that person to your app’s store page. No click is recorded:

  • while your campaign is a draft or is paused, although the link still opens the store page;
  • for automated visits, such as crawlers and link previews;
  • beyond the daily limit that Yousie applies to visits to one link from one network address.

You are not charged for clicks.

Installs

An install counts when all of the following are true:

  • your app reports its first launch to Yousie, with the click identifier it received from the store;
  • that click was made on a link of your campaign, and has not already been counted for another install;
  • this installation of your app has not been counted before;
  • the report reaches Yousie within your campaign’s attribution window, counted from the click;
  • the report passes the automatic checks described in section 10.

An install that counts is confirmed as it is recorded. You have nothing to approve.

Today, Yousie attributes installs made from Google Play only. A visitor on an iPhone is sent to your App Store page when you have given your App Store ID. Installs made there are not attributed: they are neither counted nor charged.

Subscriptions

A subscription can count only for someone whose install was attributed. Your app reports the purchase, and Yousie records it as pending. It becomes a result, and is charged, only when you confirm it, as section 6 describes.

One subscription counts for each install, and a store order counts once. Renewals and later purchases are not results.

What does not count

  • an install or a subscription that did not come through a creator’s Yousie link, for example when someone sees a video and then finds your app by searching the store;
  • an install reported after the attribution window has closed;
  • a subscription you have rejected, or one that is still pending;
  • a result obtained by fraud, or in breach of the Terms of Use or of your campaign’s conditions, as section 10 describes.

Results are counted from Yousie’s tracking data, which is the basis for what you are charged under the Terms of Use. Your store console or your analytics may show other figures, because they count other things.

6. How results are validated or rejected

Installs

Installs are validated automatically, at the moment your app reports them. A report that fails a check is refused: it is not counted and not charged. Yousie keeps the refusal and its reason, so that fraud can be reviewed.

Subscriptions

Each pending subscription is listed in your campaign under “Subscriptions to confirm”, with its store order reference, the product, the price your app reported and whether it is a trial. You decide each one:

  • Confirm it when the subscriber has really been charged, for example once a free trial has converted. If your campaign pays a share of the subscription price, you state the amount actually charged, in euros.
  • Reject it when it was refunded or was never charged.

You can decide by hand in your dashboard, or have your server do it with your postback secret. Your server can also confirm a subscription that your app did not report, for an install that was attributed.

A decision is final. Once a subscription is confirmed or rejected, neither you nor your server can change the decision or the amount stated.

Deciding on time and in good faith

A creator is paid for a subscription only if you confirm it. You therefore agree to confirm every subscription whose subscriber was charged and not refunded, to state the amount actually charged, and to reject a subscription only for one of the reasons above.

Results found invalid later

Under the Terms of Use, figures can be adjusted while results are being checked, and a result found to be invalid can be removed after it was recorded. A removed result is not charged. Section 7 says what happens when you have already paid for it.

7. Billing and payment

You pay Yousie, not creators. What you owe is the price of the valid results of your campaigns: installs as they are recorded, subscriptions as you confirm them. Your dashboard lists every install and every subscription behind that amount, campaign by campaign.

The conditions of payment are these:

What you owe for a result stays due if you later change or pause the campaign, or close your account.

8. Taxes

Each party is responsible for the taxes that apply to it.

9. Your obligations

The Terms of Use list what every brand agrees to, and the collaboration agreement what you owe each creator. As a customer, you also agree to the following.

  • List an app that is yours to promote. You own it or are authorised to promote it, you describe it accurately, and you keep its store details correct: a Yousie link sends visitors to the store page those details point to.
  • Integrate the tracking and keep it working. Your app reports each first launch that comes from a Yousie link, and each subscription, as the tracking guide in your dashboard describes. A result your app does not report cannot be counted, and the creator who drove it is not paid. If your tracking stops working, tell us without delay.
  • Report truthfully. What your app and your server send to Yousie must be true. You do not hold back, delay or alter reports to reduce what you owe.
  • Keep your tracking keys safe. The SDK key ships inside your app and is public. The postback secret proves that a decision comes from you: keep it on your server, never inside your app, and create a new one from your dashboard if it may have leaked. You answer for the decisions sent with it.
  • Decide subscriptions on time and in good faith, as section 6 describes.
  • Inform the people who install your app. Your app sends Yousie data about them: the click identifier, an identifier for the installation, the version of the app and, for a subscription, the order reference, the product and its price. Yousie also receives the network address each report comes from, which it uses to detect fraud and to note the country. Telling your users so in your own privacy information, and having a legal basis for sending this data, is your responsibility. The Privacy Policy explains what Yousie does with it.
  • Pay for valid results, as section 7 sets out.

Material you supply

You are responsible for everything you supply for a campaign, whatever its form: the description of your app, a brief, texts, images and videos. For all of it, you confirm that:

  • you hold the rights needed to supply it, including those of the people who made it and of the people who appear in it;
  • it may be shown to creators on Yousie, and used by them as a reference for the content they make for your campaign;
  • it is accurate and lawful, and follows the Terms of Use.

The example videos you upload for an app are stored with Yousie’s hosting provider and shown with your offer. A video’s file can be opened by anyone who has its address, so upload only what you are willing to make public. You can remove a video from your dashboard at any time, which deletes the stored file. Where a video shows people, voices or scenes generated or altered by artificial intelligence, any labelling the law requires is your responsibility.

Yousie may remove material that breaks these terms, the Terms of Use or the law. The collaboration agreement says what a creator may and may not do with your material.

10. Fraud and disputes over results

The checks Yousie runs

Before it records an install, Yousie checks the report automatically. It refuses:

  • a report that names a click that does not exist, or a click on another app’s link;
  • a second install for a click that has already been counted, or for an installation of your app that has already been counted;
  • a first launch reported too soon after the click to be genuine;
  • a report that arrives after the attribution window has closed;
  • installs beyond the daily limit that Yousie applies to one link from one network address.

These checks reduce invalid results. They cannot rule them out.

Invalid results

A result obtained by fraud, or in breach of the Terms of Use or of your campaign’s conditions, is not valid. The Terms of Use name the main cases: bots, click farms, installs a creator makes or arranges, rewards offered in exchange for a download, misleading or forced redirects, and spam.

An invalid result is not charged to you, and the creator earns nothing for it. Yousie may remove such a result after it was recorded, hold back the creator’s payout while it checks, and act on the account concerned.

Contesting a result

If you believe that a result is invalid, or that a count is wrong, write to [to be completed: contact email address]. Name the campaign, the installs or subscriptions concerned and your reasons, and attach any evidence you have. We look into it in good faith, on the basis of our tracking records and of what you and the creator provide, and we tell you the outcome.

Fraud by a brand

Rejecting subscriptions that were really charged, stating less than was charged, holding back reports, or creating installs or subscriptions on your own campaign is a serious breach of these terms. What is due for the results concerned stays owed, and section 12 applies.

11. Changing, pausing or ending a campaign

You run your campaign from your dashboard, and you can change its status at any time:

Not listed for creators.
Live
Listed for creators. Their links are tracked.
Paused
Hidden from new creators. New clicks are not tracked.

To end a campaign, pause it or set it back to draft. From then on:

  • creators’ links still open your app’s store page, but no click is recorded;
  • an install that follows a click recorded while the campaign was live still counts, and is charged, until the attribution window of that click has run out;
  • subscriptions from installs already attributed can still be reported, and remain yours to confirm or reject;
  • creators who had joined keep their link, which is tracked again if you set the campaign live.

12. Suspension by Yousie

The Terms of Use say when Yousie may suspend or restrict an account, remove a collab or hold back results, and how you are told. For a brand, the reasons include:

  • an amount that is due and has not been paid;
  • an app, or a promotion of it by creators, that appears to be unlawful, or an app that is no longer available on its store;
  • tracking that sends false data, or subscriptions decided in bad faith;
  • suspected fraud on a campaign.

A suspended campaign is treated as a paused one: section 11 says what still counts. Suspension does not cancel what you owe for results already recorded.

13. Liability

The limits of Yousie’s liability in the Terms of Use apply to these terms. For a brand, that means in particular:

  • No promised outcome. Yousie does not promise a number of creators, posts, installs or subscriptions, or a return on what you spend.
  • Content is the creator’s. Yousie is not the author or the publisher of creators’ content. Each creator answers for their own content. You answer for your app, for what you say about it and for the conditions you set.
  • Tracking has limits. It depends on your integration, on the app stores and on each user’s device and network. We work to keep it reliable, but we cannot promise that every install is attributed, or that no invalid result passes our checks.
  • Loss covered. As far as the law allows, Yousie is liable to you only for direct and foreseeable loss caused by its own breach of these terms, and not for indirect loss such as lost profit, lost opportunity or harm to reputation.

Nothing in these terms excludes or limits liability that the law does not allow to be excluded or limited.

If a third party brings a claim against Yousie because of your app, the material or instructions you gave to creators, or your breach of these terms, you are responsible for the consequences.

14. Term and termination

These terms apply from the moment you first open a campaign to creators, for as long as you use Yousie as a brand. There is no minimum term.

You can stop at any time: end your campaigns as section 11 describes, then ask us to close your account, as the Terms of Use explain. Decide the subscriptions that are still pending before you do. Yousie may close an account in the cases the Terms of Use provide for.

When an account is closed, the Terms of Use apply: your campaigns end, their links stop recording results, and you still owe what is due for the results recorded before the closure. The sections of these terms on payment, liability and governing law continue to apply for as long as they are needed.

15. Changes to these terms

We may change these terms when the service or the law changes. The date at the top of this page shows when they were last updated.

When a change affects your rights or obligations, we tell you by email or in your dashboard a reasonable time before it takes effect. If you do not agree with it, you can end your campaigns and close your account before that date. Running a campaign after it means you accept the new terms. Results recorded before a change stay governed by the terms that applied when they were recorded.

16. Governing law, disputes and contact

These terms are governed by [to be completed: governing law].

If a dispute arises, contact us first so that we can try to settle it together. If that fails, the dispute is to be brought before [to be completed: competent courts], unless mandatory law gives jurisdiction to another court.

The general provisions of the Terms of Use apply to these terms as well.
